Pat Brown practices in the areas of public finance, commercial finance, commercial real estate and general corporate law.

Mr. Brown has twenty years of experience in representing corporate lenders, investment banks, borrowers, municipal issues and commercial banks in structuring and negotiating complex financial transactions. His areas of concentration include:

  • Representing national and regional banks in commercial and corporate lending activities
  • Representing national developers in financing multifamily housing projects
  • Serving as bond counsel for municipalities and universities in issuing tax-exempt bonds
  • Representing national and regional investment banking firms in general obligation and revenue bond financing.
  • Representing Agricultural Credit Associations and Farm Credit Banks in Rural America Bond financings. 

Mr. Brown also has significant experience in a variety of structured finance transactions and securitizations involving different types of personal and real property assets. He also represents small to medium sized companies in their ongoing business activities.

Originally from Minneapolis, Minnesota, Mr. Brown was an Associate Editor for the Catholic University Law Review while in law school. Mr. Brown was an associate and a partner with the law firm of Kutak Rock in Washington, D.C. from 1987 to 1998.

Representative Matters

A sample of Mr. Brown's recent activities includes:

  • Developing the new Rural America Bond Program for Agricultural Credit Associations and Farm Credit Banks.
  • Representing a commercial bank in a $32 million revolving corporate line of credit and letter of credit facility secured by account receivables and inventory.
  • Representing a national developer of multifamily housing in the bond financing of several facilities throughout the East Coast.
  • Bond Counsel to Appalachian State University in $30 million bond financing for the construction of student housing and educational facilities.
  • Representing a commercial bank in the issuance of a letter of credit for a multi-million dollar industrial development revenue bond for a new manufacturing facility.
